TERMS & CONDITIONS

1. Definitions

1.2 Customer means the person, partnership, unincorporated association, company or other organisation named

1.3 Units means the sacks or archive boxes.

1.4 Confidential waste:-

Invoices, employee application forms , employee records, ID cards and badges, company letterhead, business cards, brochures, flyers, leaflets, diaries, marketing plans, business plans and budgets, financial accounts, printed letters, printed emails, microfiche, case files, used notebooks, customer databases – printed, reports, receipts, bill, medical records and notes, dental records, contracts and order forms, student and pupil records, supplier records, photographs and negatives, client service logs, delivery notes, statements.... and ANYTHING containing confidential information (names, addresses, phone numbers, email addresses, other).

2. Basis of Agreement

2.1 in consideration of the customer making the payment Shredder & Hygiene Service (S&HS) Ltd will collect said confidential waste from the customer’s site.

2.2 S&HS Ltd will provide the customer, if required a certificate of destruction for each consignment of confidential material removed from the customer’s site under their agreement.

2.3 S&HS Ltd may, with the customer’s prior agreement, employ a subcontractor for the purpose of fulfilling any contract entered into.

3. Payments

3.1 Payments shall be payable on destruction of waste.

3.2 S&HS Ltd shall be at liberty to vary the payment as follows:

3.2.1 at any time where performance of its obligations is made more difficult or costly as a result of new legislation or regulations or changes to existing legislation or regulations.

3.2.2 to take account of an increase in S&HS Ltd operating costs, including (without limitation) costs arising from increases in fuel prices etc.

3.2.3 an annual percentage increase will be applied at the beginning of each financial year.

3.3 The payments are subject to the addition of VAT at the prevailing rate, which shall be additionally payable by the customer in full.

 

4. Other charges

4.1 S&HS Ltd will maintain records of all waste transfer for 2 years. A detailed report including dates of transfer and disposal date can be supplied at the customer’s request. There will be an additional charge for this service.

 

5. Late Payment

5.1 If the customer fails to make payment on the due date then without prejudice to any other right or remedy available to the company, the company shall be entitled to:-

5.1.1 make an initial charge £35 and charge the customer interest (both before and after any judgement) on the amount unpaid, at the rate of 8% per annum above Barclays Bank Base rate from time to time until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest).

 

6. Covenants of the Customer

6.1 The customer agrees and covenants with S&HS Ltd as follows:

6.1.1 To allow S&HS Ltd and its agents full, convenient and safe access to the site from which collections are carried out during such hours as may be necessary to perform it obligations under the agreement, arrange for collection to be in a safe accessible place at a reasonable distance from the entrance of the building.

6.1.2 to ensure that the waste material to be collected and disposed of is as previously agreed and shall be of the type, character and quantities as specified under section 1.4.

6.1.3 the customer shall ensure that no material change in the nature of the waste materials shall take place during the agreement period. If waste other than the material covered in this agreement is received, S&HS Ltd representative will be able to refuse transport of said waste. S&HS Ltd will contact the customer to agree the method of disposal and S&HS Ltd reserves the right to charge the customer additional charges for such services at the current rates at the time the service is provided. Such additional charges are to be paid within 30 days of the date of S&HS Ltd invoice.

6.1.4 to ensure that the material to be collect and shredded do not contain any material that could damage the shredding equipment used by our supplier. S&HS Ltd reserve the right to charge the customer additional charges to cover any breakdown, damage or repair as a result  of the customers actions

6.1.5 to ensure that it has the consent of all relevant data subject to the destruction of the data comprised in the confidential material.

 

7. Covenant of S&HS Ltd

7.1 All S&HS Ltd staff are security vetted to BS7858 requirements.

 

8. Warranties by the customer

8.1 the customer warrants to S&HS Ltd that the waste S&HS Ltd  collects under the agreement does not contain any hazardous concentration of any harmful, poisonous or polluting substances and that any significant change in the waste will be declared to S&HS Ltd prior to collection.

 

9. Termination

9.1 S&HS Ltd have the right to cancel the agreement with the customer providing 24 hours’ notice.

9.1.1 The customer can cancel the agreement with providing S&HS Ltd with 24 hours’ notice.

 

10. Liability

10.1 S&HS Ltd will not be liable for any delay or failure to comply with its obligations where the failure is due to fire, flood, inclement weather, strikes, industrial action or any other reasonable circumstances beyond our control.

 

11. Data Protection & GDPR

11.1 By signing into this website you agree that we can hold information regarding your detail in accordance with the General Data Protection Regulations (GDPR) May 2018. We will remove/delete securely any information when it is no longer relevant. We will not sell your data or pass your information on to any 3rd parties, unless we use subcontractors, in which case they will not be able to use your information for their own use.
